In connection with the current report 4/2025 published on 30/10/2025, OkechampGlobal B.V. (the Company, the Issuer) is informing that:
1. On 05/11/2025 the court in Poznan, Poland decided to open remedialproceedings (postepowanie sanacyjne) for the debtor: OKECHAMP S.A. (theSubsidiary) with its registered office in Poznan, Poland and commercialregistration number KRS 0000235254.
2. Further, the court decided:2.1. to leave the debtor (Okechamp S.A.) in charge of its own management;2.2. to appoint an administrator, whose role will be performed by: PatrycjaGrenda (license number 817);2.3. to indicate that the jurisdiction of Polish courts is based on Article3(1)of Regulation (EU) 2015/848 of the European Parliament and of the Council of20May 2015 on insolvency proceedings (JOL 141, 2015, p. 19, as amended), andthatthese proceedings are of a principal nature;2.4. to charge the debtor with the costs of the proceedings.
3. The application for and the opening of remedial proceedings(postepowaniesanacyjne) of Okechamp S.A. were supported by the Bondholders.
4. In the letter, dated 17/10/2025, Advokatfirmaet BAHR AS, acting as alegalcounsel to the ad-hoc group of Bondholders holding more than 2/3 of the Bondsissued (the Ad-hoc Group), and Nordic Trustee AS, in its capacity as a bondtrustee for the Bondholders, informed that the members of the Ad-hoc Groupexpressed their willingness to consider participation in a potential liquidityfinancing, should it be needed and possible on satisfactory terms, and inaccordance with the Polish Restructuring Law. BAHR AS and Nordic Trustee alsoinformed that the Ad-hoc Group is currently considering a comprehensiverecapitalisation proposal for the Issuer and Okechamp S.A., and that theAd-hocGroup is also considering a proposal for a near-term liquidity financing,whichcould finance the Group until the comprehensive recapitalisation may becompleted.
