Carrefour has announced that it has entered into exclusive negotiations with Pavăl Holding for the transfer of its operations in Romania. The transaction is part of the strategic review process initiated by the Group at the beginning of 2025.
Pavăl Holding is the investment vehicle of the Pavăl family, among the most prominent Romanian entrepreneurs and owners of Dedeman, the leader of Romania’s DIY retail market and one of the country’s most successful locally founded companies.
The transaction is based on a company valuation of approximately 823 million euro.
Carrefour Romania operates a multi-format network of 478 stores, including 55 hypermarkets, 191 supermarkets, 202 proximity stores, and 30 discount stores. The company generated gross sales (TTC) of around 3.2 billion euro in 2024 and estimated 2025, representing approximately 3.5% of the Group’s total sales.
Completion of the transaction is subject to the necessary approvals from the relevant authorities and is expected in the second half of 2026.
“The sale of Carrefour Romania reflects the solid progress of the portfolio review process initiated at the beginning of 2025. Following the significant transactions completed over the past 12 months – in particular the acquisition of all minority interests in Carrefour Brazil and the sale of Carrefour Italy – the Group is continuing its transformation and focusing on its three main strategic markets. In this context, we will present the key pillars of our strategic plan next week. I would like to thank all colleagues at Carrefour Romania for their dedication and professionalism, which have contributed to building a solid business. I am confident that this agreement with Pavăl Holding will represent an important opportunity for the company’s continued development and success,” said Alexandre Bompard, Chairman and CEO of Carrefour.
For 2025, Carrefour Romania estimates net sales of 2,770 million euro, EBITDA of 173 million euro, recurring operating income of 29 million euro, and IFRS 16 debt of 308 million euro.
