
In 2021, the Radziwiłł family, with the help of legal advisor Gaweł Jarosiński and other lawyers, removed me from the company. Through various arrangements, they managed to get the court in Gdańsk to appoint Mr. Jarosiński, a well-known restructuring advisor, as the so-called share supervisor. Without my knowledge, he quickly convened a general meeting of the company, removed me from it, and allowed the Radziwiłł family to take it over. The court in Warsaw later ruled that Mr. Jarosiński had grossly exceeded his powers and invalidated his decisions. I then fought in court for over two years to be reinstated to the company’s management board. When this happened, it turned out that during my absence, a fictitious debt of several thousand euros had been created, so… the company, worth hundreds of millions of euros, was declared bankrupt. This bankruptcy is also fictitious, it is the result of a crime, the aim is to get rid of me and take over the huge profits,"says Cezary Jarząbek.
In simple terms, without his knowledge as the majority shareholder, he was removed as CEO and then a fake unpaid invoice was enough to start an insolvency proceeding for a multi million company. No wonder Poland is high on corruption charges. I researched and theoretically it can be done. Is opening a business in Poland a Russian roulette?
According to Article 11 of the Polish Bankruptcy Law, insolvency comes in two forms:
– Liquidity – when a company fails to settle its due financial obligations for more than 3 months.
– Balance sheet – when liabilities exceed the value of the company’s assets for more than 24 months.
The amount of debt is irrelevant – if a company does not have the funds to repay even a small debt, it may be considered insolvent.
Example: a million-dollar company with a debt of PLN 5,000
– If the company lacks financial liquidity (e.g., frozen accounts, no turnover, no access to assets), even a debt of PLN 5,000 may be grounds for declaring bankruptcy.
– A creditor may file for bankruptcy if their claim is due and unpaid.

Why did you come here to cry?
This is simply not true as the bankruptcy process is quite complicated and can’t be opened without examining several other factors.The court still should evaluate whether there are grounds for opening a banckrupcy proceedings. Having a debt may be needed for filing an initial motion but it doesn’t mean that the bankruptcy will be initiated.
I dont see any signs of corruption here, just hire a lawyer that will explain it to you and will defend the company during those first initial steps. You clearly need this as you misunderstood the Article 11, the bankruptcy process and it’s purpose.
